Terms and Conditions

These terms and conditions of sale override any other clauses.

Formation of Contract

In these conditions, references to "The Company" shall mean Stormsure Limited and its subsidiaries. All offers, quotations, and acceptances by the Company incorporate these terms and conditions. No variation or substitution for these terms shall be binding unless agreed in writing by an authorized representative of the Company. Any terms and conditions on the customer's order forms or websites are binding only if they do not conflict with these terms.

The contract is deemed to be made within the county of Cambridgeshire, United Kingdom, and any claims will be dealt with in the Cambridgeshire County Court or other British courts.

Prices

All prices are quoted ex-works. The Company reserves the right to alter prices or terms without notice. Prices and terms are those ruling at the date of dispatch. Price lists are updated annually and are available in British Pounds, Euros, and United States Dollars. Consumer prices in British pounds are available on the company website (www.stormsure.com). Reseller price lists are available upon request from sales@stormsure.com. Further discounts are available for wholesalers and distributors, at the Company's discretion. Minimum order values apply.

Payment Terms

Unless otherwise stated and agreed in writing, payment is to be made strictly on a proforma basis. In the event of default, the Company reserves the right to charge interest at 4% per annum above the Company’s borrowing rate on the unpaid balance. Interest accrues daily from the due date of payment. Proprietors, directors, and partners of the buyer are jointly and severally liable for full payment for goods and services supplied by the Company.

Delivery

Delivery times are given as accurately as possible, but the Company is not liable for any damages or cancellations due to failure to meet the stated delivery times. Ex-works goods are deemed delivered when they leave the supplier's premises and become the customer's responsibility. Goods dispatched with couriers are deemed delivered when they reach the customer's premises.

Property and Risk – Retention of Title

Ownership of the goods remains with Stormsure Ltd until:
1. The Customer has paid for the goods in full, and no other amounts are owed to the Company.
2. The buyer sells the goods in accordance with these conditions, in which case ownership passes to the buyer before delivery to the buyer’s customer.

If the Customer is overdue in payment, Stormsure Ltd may recover and resell the goods. The Company may enter the customer's premises for this purpose. The buyer must store the goods separately until they become the buyer's property, are attached to other goods, or are delivered to a purchaser.

Liability

No liability is accepted for any direct or indirect costs, damages, or expenses related to damage to property or injury, or loss of profits or production arising from any defect in goods supplied by the Company. The liability for product use remains with the customer. Stormsure Ltd’s liability, whether in one claim or in aggregate, shall not exceed the purchase price of the product under the contract.

Disclaimer

This disclaimer, issued by Stormsure Limited, applies to the use of any products supplied by the Company. Using a TDS, an MSDS, and/or the Product constitutes acceptance of this disclaimer. This disclaimer prevails over any other directions of use or liability exclusions on product packaging.

The Company’s total liability for use or resale of the Products shall be limited to the price paid for the Product. The Company is not liable for any economic loss, loss of profit, or business loss, direct or consequential, arising out of the use or resale of the Products. This disclaimer does not affect liability for death or personal injury caused by the Company’s negligence.

Goods Lost or Damaged in Transit

Claims for shortages or damage must be notified within 24 hours of delivery. Claims for lost goods must be notified within 7 days of the expected delivery date. Failure to notify within these periods will result in the goods being deemed accepted by the customer as in good order.

Warranty

The Company warrants that goods are free from defects in materials and workmanship for six months from delivery. Liability is limited to replacing, repairing, or issuing credit for defective goods returned carriage paid to the Company.

The Company incurs no liability under this warranty unless:
1. The Company is notified in writing within 5 days of discovering a defect.
2. The defect is not due to misuse, neglect, incorrect storage, alteration, accident, or normal wear and tear.
3. No transport, removal, labor, or other costs are covered.

Third Party Claims

The customer indemnifies Stormsure Ltd against all damages, penalties, costs, and expenses arising from infringement of any patent, registered design, or trademark due to goods manufactured to the customer's specifications. The customer must indemnify the Company against third-party claims arising from the supply of goods.

Trade Descriptions

If any trade descriptions are applied to goods at the customer's request, the customer warrants their accuracy. The customer indemnifies the Company against any claims arising from false trade descriptions.

Return of Goods

Goods may be returned only with the Company's written permission. Standard stock items returned are subject to a 10% handling charge. The handling charge for special items depends on their value to the Company.

Contract Law

This contract is subject to the Laws of England.
